Terms of Service

These Terms of Service ("Terms") govern your access to and use of AstroForms, operated by N01 Labs ("AstroForms", "we", "us", "our"), and any related websites, apps, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.

1) Who we are

AstroForms provides browser-based tools to create, publish, and manage online forms and collect responses, including features such as branching logic, templates, form personalization, and optional AI-powered avatars and voice-to-text capabilities. Contact: support@astroforms.com.

2) Eligibility & Accounts

• You must be at least 13 years old (or the age required by local law) to use the Service.
• You are responsible for your account credentials and for all activity under your account.
• Provide accurate information and keep it updated. We may suspend or terminate accounts that violate these Terms.

3) Plans, Subscriptions & Billing

• We offer free and paid plans (including subscriptions). Plan features and pricing are shown at sign-up and may change with notice.
• Some plans may include "unlimited responses." "Unlimited" is subject to fair use and compliance with these Terms, including our acceptable use rules and anti-abuse protections.
• Subscriptions renew automatically until cancelled. You can manage or cancel at any time from your account settings.
• Fees are non-refundable except where required by law or as expressly stated during a promotion or in these Terms.
• Taxes may apply based on your billing address and will be added where required.

4) Fair Use & Acceptable Content

• Do not create or collect content that is illegal, infringing, or harmful (e.g., malware, hate, harassment, threats, explicit illegal content).
• Do not attempt to disrupt, overload, reverse engineer, or circumvent security, anti-abuse measures, or usage limits.
• You are responsible for (a) the forms you publish, (b) the content submitted by respondents to your forms, and (c) complying with all applicable laws and third-party rights.
• You must not use the Service to collect sensitive information unless you have the legal right and appropriate safeguards to do so (e.g., security measures, notices/consent, and compliance with applicable privacy laws).
• We may apply rate limits, storage limits, or other controls to prevent abuse and protect the Service. Repeated abuse may result in suspension or termination.
• Anti-Spam Compliance: You agree to comply with all applicable anti-spam laws, including Canada’s Anti-Spam Legislation (CASL) and the US CAN-SPAM Act. You must not use the Service to send unsolicited bulk messages or emails without valid consent.

5) Your Content & License to Us

You retain all rights to (a) the forms and content you create and (b) the responses you collect ("Your Content"). You grant AstroForms a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Your Content solely to provide, maintain, and improve the Service and to meet legal or security obligations.

This includes generating technical outputs needed for the Service (e.g., previews, analytics, exports, thumbnails, cached assets) and operating form experiences (e.g., rendering question types, branching logic decisions).

6) AI Features, Avatars & Voice-to-Text

Some features may use artificial intelligence, including AI-powered avatar responses, content suggestions, or voice-to-text ("AI Features"). AI Features may not be accurate and may produce outputs that are incomplete, incorrect, or inappropriate. You are responsible for reviewing and deciding whether to use AI-generated outputs.

• You are responsible for configuring how AI Features behave (e.g., tone/personality, prompts, or settings) and for ensuring your forms and AI interactions comply with applicable laws and these Terms.
• Voice-to-text availability may depend on device, browser, operating system, and third-party capabilities. We do not guarantee availability on all devices.
• We may disable or limit AI Features in certain circumstances (e.g., abuse prevention, safety, legal compliance, plan limits).

7) Privacy

Your use of the Service is also governed by our Privacy Policy, which explains what we collect and how we use it.

If you publish forms and collect responses, you may be responsible for providing appropriate notices and obtaining any required consents from respondents (for example, where laws require consent for data collection, cookies, or recording).

8) Storage, Availability & Changes

• We aim for high availability but do not guarantee uninterrupted Service. We may suspend the Service for maintenance, emergencies, or legal/security reasons.
• We may change features, impose or adjust limits, or discontinue parts of the Service. For material changes to paid features, we'll provide reasonable notice.
• We may delete or restrict access to content that violates these Terms, applicable law, or that poses security or abuse risks.

9) Third-Party Services

The Service may integrate with third parties (e.g., Google/Microsoft sign-in, Stripe payments, map/geolocation providers, analytics providers). Your use of those services is subject to their terms and privacy policies. We are not responsible for third-party services.

10) Intellectual Property

AstroForms and its logos, product names, and the Service's software and designs are our intellectual property or that of our licensors. Except for rights expressly granted, no license is granted to you. You may not copy, modify, distribute, or create derivative works of the Service.

11) Feedback

If you send ideas or suggestions, you grant us a perpetual, worldwide, irrevocable, royalty-free license to use them without restriction or compensation.

12) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT CONTENT WILL BE PRESERVED WITHOUT LOSS.

AI FEATURES ARE PROVIDED "AS IS." WE DO NOT GUARANTEE THE ACCURACY, QUALITY, OR APPROPRIATENESS OF AI-GENERATED OUTPUTS.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTROFORMS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THAT PERIOD (OR $50 IF YOU USED A FREE PLAN).

14) Indemnification

You agree to defend, indemnify, and hold harmless AstroForms and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your forms, your content, responses you collect, your use of the Service, or your breach of these Terms.

15) Termination

• You may stop using the Service at any time and, for subscriptions, cancel from your account settings.
• We may suspend or terminate your access if you violate these Terms, create risk, or for legal/security reasons.
• Upon termination, your right to use the Service ends; some provisions (e.g., IP, disclaimers, limitations of liability, indemnity, and governing law) survive.

16) Refunds

Except where required by law or explicitly stated otherwise, fees are non-refundable. If we materially fail to provide a paid feature you already purchased and cannot remedy it within a reasonable time, contact us and we'll review in good faith.

17) Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for the resolution of any disputes arising out of or relating to these Terms or the Service.

18) Export Controls

You must comply with all applicable export and sanctions laws and may not use the Service in embargoed or restricted jurisdictions in violation of such laws.

19) Changes to these Terms

We may update these Terms to reflect changes to the Service or legal requirements. We'll update the "Last updated" date and, for material changes, provide reasonable notice (e.g., email or in-app). Your continued use of the Service after changes become effective constitutes acceptance.
